Our website and services provided to you through our website are provided on an AS IS basis. You agree that Because Learning, Inc. (“Because Learning”, “we”, “us”) exclusively reserves the right and may, at any time and without notice and any liability to you, modify or discontinue this website and its services or delete the data you provide, whether temporarily or permanently. Because Learning shall have no responsibility or liability for the timeliness, deletion, failure to store, inaccuracy, or improper delivery of any data or information.

3. Your Responsibilities and Registration Obligations

In order to access certain services or make purchases on this website, you must register on our site, agree to provide truthful information as requested, and be at least the age of eighteen (18) unless registering through your school. By registering an account on our website, you explicitly agree to our Terms of Use and Privacy Policy as may be modified by us from time to time and available here.

5. Password Restricted Areas of this website.

You may need a password to login to certain areas of this website and to use certain functions within this website. You are responsible for maintaining the confidentiality of your password and account, and agree to notify Because Learning if your password is lost, stolen, or disclosed to an unauthorized third party, or otherwise may have been compromised. You are responsible for all activities that occur under your account and login. You agree to immediately notify Because Learning of any unauthorized use of your account or any other breach of security in relation to this website known to you.

6. Purchases

If applicable, you agree to pay all fees or charges to your account based on Because Learning’s fees, charges, and billing terms. You are also responsible for paying any taxes that may apply. If Because Learning cannot charge your credit card or other payment method for any reason, Because Learning reserves the right to either suspend or terminate your access to the website and your account and terminate these Terms of Use.

7. Conduct

You agree that all information or data of any kind, whether text, software, code, music or sound, photographs or graphics, video or other materials (“Content”), publicly or privately provided, shall be the sole responsibility of the person providing the Content or the person whose user account is used. You have full responsibility for each such submission of Content you make, including its legality, reliability, appropriateness, and trademark and copyright ownership and agree that it is provided on a non-proprietary and non-confidential basis. You hereby assign, transfer and convey to Because Learning all your worldwide right, title and interest in and to your Content submissions, and the complete right to exploit or otherwise use the Content submissions or any portion thereof, in any form of medium, expression or technology now known or hereafter known or developed, and all contract and licensing rights. However, Because Learning agrees to use all of your Content submissions in accordance with Because Learningt’s Privacy Policy applicable to personally identifiable information.

You further agree that you will not upload, post or otherwise make available on this website any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third party, and the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from any Content submission that you make.

You represent and warrant that: (i) you own all Content posted by you on or through this website or otherwise have the right to grant the ownership to Because Learning set forth in this section, and (ii) the posting of such Content on or through this website does not violate the privacy rights, publicity rights, trademark rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, damages and any other monies owing any person by reason of any Content posted by you to or through this website.

You explicitly agree, in using this website or any service provided, that you shall not:

Use the Content or perform any conduct that may be unlawful, illegal, threatening, harmful, abusive, harassing, stalking, tortious, defamatory, libelous, vulgar, obscene, offensive, objectionable, pornographic, designed to or does interfere or interrupt this website or any service provided, infected with a virus or other destructive or deleterious programming routine, give rise to civil or criminal liability, or which may violate an applicable local, national or international law;

You acknowledge and agree that the availability of any software application or the services provided via this website are dependent on the third-party from which you received such application, if applicable (e.g., the Apple or Android app stores).

12. Cap on Liability

UNDER NO CIRCUMSTANCES WILL BECAUSE LEARNING BE LIABLE TO YOU FOR MORE THAN FIFTY DOLLARS ($50).

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THIS WEBSITE AND ANY SERVICES OR CONTENT PROVIDED (THE “SERVICE”) IS MADE AVAILABLE AND PROVIDED TO YOU AT YOUR OWN RISK. You agree that this Terms of Use and any dispute arising out of your use of this website or our products or services shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. By registering or using this website and service you consent and submit to the exclusive jurisdiction and venue of Salt Lake County, Utah. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Terms. The laws of the jurisdiction where you are located may be different from Utah law.

17. Local Laws & Export Control

Because Learning controls and operates this website from its headquarters in the United States of America and the content displayed hereon may not be appropriate or available for use in other locations. If you use this website outside the United States of America, you are responsible for following applicable local laws. You agree that you will use the website and its services in compliance with all export control laws, restrictions and regulations of the United States and all other relevant countries. You further agree not to export, or allow the export or re-export of Content (including any software, technical data, or any direct product thereof): (i) in violation of any applicable export control laws, restrictions, or regulations, including, but not limited to, the Export Administration Regulations (15 C.F.R. The failure of either party to assert any right under these Terms of Use shall not be considered a waiver of any that party’s right and that right will remain in full force and effect.

You agree that without regard to any statute or contrary law that any claim or cause arising out of this website or its services must be filed within one (1) year after such claim or cause arose or the claim shall be forever barred.

We may assign our rights and obligations under these Terms of Use and we shall be relieved of any further obligation.
